USER AGREEMENT

This User Agreement ("Agreement" or "Client Terms") is a legally binding contract between SageRank Software Solutions FZ-LLC, a Free Zone Limited Liability Company registered in Ras Al Khaimah, United Arab Emirates ("SageRank", "we", "us", or "our"), and the individual or entity ("Customer", "Subscriber", "User", or "you") subscribing to or accessing the SageRank intelligence platform.

1. Commercial Subscription Plans and Quotas

SageRank provides access to its intelligence matrices across five distinct clearance tiers:

• SAGE Discovery (14-Day Free Evaluation): zsh for 14 days. Includes 1 apex domain slot, 10 evaluation credits, core technical SEO, and domain speed status checks. No credit card required.
• SAGE Starter: .00 USD/month (.00 USD/year upfront). Includes 3 tracked domains, 50 monthly credits, full structural SEO engine, and top 100 keywords.
• SAGE Pro: .00 USD/month (.00 USD/year upfront). Includes 10 tracked domains, 250 monthly credits, full AEO/GEO citation engine, and keyword gap matrix.
• SAGE Sentinel: .00 USD/month (,390.00 USD/year upfront). Includes 10 tracked domains, 50 monthly credits, Tiers 1–9 offensive security engine, OmniScan Red-Team simulations (20 credits/scan), DNS TXT verification barrier, and ShieldAI offensive security matrix.
• SAGE Ultimate: .00 USD/month (,790.00 USD/year upfront). Includes unlimited tracked domains (30+ slots), 5,000 monthly credits, Cloudflare origin IP bypass scanner, white-label master dossiers, dedicated cluster, and B2B tax invoicing.

2. Automatic Renewal, FTC Notices & Cancellation

Recurring Billing: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled beforehand. You authorize recurring charges to your payment method on file via Stripe or Paddle.

30-Day Annual Pre-Renewal Email: For all annual subscription plans, SageRank commits to transmitting an automated reminder email thirty (30) days prior to the annual renewal date specifying the upcoming billing amount, charge date, and cancellation link.

Easy Self-Serve Cancellation: Subscribers may cancel their subscription anytime with one click directly inside their Account Settings (app.sagerank.io/settings). Upon cancellation, paid privileges continue until the conclusion of the current prepaid billing period.

3. Typo Protection & Credit Wallet Policy

Credit Consumption Mechanics: Standard SEO/AEO/GEO audits deduct one (1) credit per scan. Deep OmniScan Red-Team offensive simulations deduct twenty (20) credits per scan from the user's available credit bucket.

Typo Protection Policy: 100% instant automated credit refunds apply exclusively to non-existent, unregistered, or invalid domains (NXDOMAIN / DNS resolution failures). Scans executed against registered, active domains that return HTTP errors, rate-limits, or WAF blocks consume credits normally and are not eligible for automated credit refunds.

4. VAT, GST, and B2B Tax Handling

Subscription rates are quoted exclusive of applicable local sales taxes, VAT, or GST. Business subscribers can register their valid VAT ID, GSTIN, or Tax Registration Number (TRN) inside their billing dashboard to generate compliant tax invoices with reverse-charge handling where applicable.

5. Mandatory Domain Ownership & Offensive Probing Gate

Active security diagnostics, port mapping, and vulnerability probing require mandatory DNS TXT verification (sagerank-verification=TOKEN). Subscribers warrant that they are the legal owners or authorized operators of all verified domains. Unverified domains are restricted strictly to passive public analysis.

6. AI Citations & Zero Outcome Warranty

SageRank is an independent analytics platform and is not affiliated with OpenAI, Google, Anthropic, Perplexity, or Microsoft. Generative search engine citations are non-deterministic; SageRank makes ZERO warranty or guarantee regarding specific search rankings, citation frequency, traffic, or commercial revenue.

7. CLASS ACTION & JURY TRIAL WAIVER

ALL CLAIMS AND DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS THROUGH BINDING ARBITRATION ADMINISTERED UNDER DIAC (DUBAI, UAE) OR AAA (DELAWARE, US) RULES. BOTH PARTIES EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, REPRESENTATIVE PROCEEDING, OR JURY TRIAL AGAINST SAGERANK SOFTWARE SOLUTIONS FZ-LLC.
