1. Preamble & Corporate Identity

Welcome to SageRank (the "Platform" or "Service"), an advanced digital authority optimization, search index audit, and vulnerability diagnostics platform operated and provided by SageRank Software Solutions FZ-LLC, a Free Zone Limited Liability Company registered in Ras Al Khaimah, United Arab Emirates ("SageRank", "we", "us", or "our"). These Terms & Conditions constitute a legally binding agreement between SageRank Software Solutions FZ-LLC and the user ("User", "Client", "you", or "your") accessing and utilizing our websites located at sagerank.io, app.sagerank.io, and related APIs.

By registering an account, making a purchase, initiating domain audits, executing scanning container crons, or integrating our third-party endpoints, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not accept these terms in their entirety, you must immediately cease all access and use of the Platform.

2. Eligibility & Account Registration

To access our optimization engines and security matrix tools, you must register a SageRank account. By registering, you warrant and represent that:

  • You are at least eighteen (18) years of age, or have reached the legal age of majority in your jurisdiction of residence, and possess the full legal capacity to enter into a binding contract.
  • If you are registering an account on behalf of a corporate entity, partnership, or organization, you warrant that you are an authorized representative with the explicit legal authority to bind that entity to these Terms.
  • You will provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials (including passwords and multi-factor authentication secrets) and assume liability for all activities that occur under your account.
  • You will maintain only one active account per business entity. Multi-account creation to bypass free tier limits or scanner rate thresholds constitutes a material breach and will result in immediate suspension.

3. Free Tier & Discovery Evaluation Terms

SageRank provides new registrants access to a complimentary Free Tier of our services. The Free Tier includes:

  • A complimentary allocation of 10 evaluation credits valid for fourteen (14) days across one (1) apex domain.
  • Access to core SEO, AEO, and GEO baseline scoring metrics. Active offensive security probing and continuous automated monitoring are excluded from the Free Tier.
  • No credit card registration is required to initialize a free 14-day Discovery trial. Once the trial credits are exhausted or the 14-day period concludes, scanning engines will pause until you upgrade to a paid subscription plan.
  • Free Tier conversion terms: If you upgrade to a paid plan, your paid subscription billing period commences immediately upon receipt of payment, and any remaining complimentary scans from the Discovery tier are terminated.

4. Subscription Plans, Billing & Auto-Renewal

SageRank provides specialized professional and enterprise-grade authority monitoring tools under four commercial subscription tiers (available monthly and annually with 2 months free):

  • SAGE Starter Plan: Billed at per month (/yr). Provides 3 tracked domains, 50 monthly audit credits, full structural SEO engine, SAGE monitor health checks, and top 100 keywords.
  • SAGE Pro Plan: Billed at per month (/yr). Provides 10 tracked domains, 250 monthly audit credits, full AEO/GEO citation tracking, competitor gap analysis, and social visibility tracking.
  • SAGE Sentinel Plan: Billed at per month (,390/yr). Includes all Pro features plus 50 monthly credits, Tiers 1–9 offensive security engine, OmniScan Red-Team simulation (20 credits/scan), DNS TXT ownership verification, and ShieldAI offensive security matrix.
  • SAGE Ultimate Plan: Billed at per month (,790/yr). Includes unlimited tracked domains (30+), 5,000 monthly credits, Cloudflare origin IP bypass, white-label master dossiers, dedicated cluster, and dynamic B2B tax invoicing.

Continuous Billing & Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You authorize SageRank (via Stripe or Paddle) to charge your payment method on file on a recurring basis.

FTC & California ARL Pre-Renewal Notice Commitment: For all annual subscriptions, SageRank will transmit an automated pre-renewal notice to your registered account email thirty (30) days prior to the 12-month expiration date, detailing the upcoming renewal charge, billing date, and cancellation instructions. Subscribers may cancel auto-renewal anytime self-serve with one click inside Account Settings (app.sagerank.io/settings).

5. Mandatory Domain Verification & Scan Authorization

Our platform includes active diagnostics tools (the "Security Matrix") which execute network probes, port mapping, and signature evaluations using tools like Nmap, Subfinder, and Nuclei inside isolated container environments.

Cryptographic Clearance Barrier: All active security probes, OmniScan simulations, and Cloudflare Origin IP bypass routines are strictly gated behind mandatory DNS TXT verification (sagerank-verification=TOKEN) or HTML meta-tag verification. Unverified domains are restricted strictly to passive, non-intrusive public header and metadata checks.

Due to the active scanning nature of these tools, you must strictly comply with the following regulations:

  • Domain Ownership Warranty: You warrant and represent that you are the sole lawful owner or authorized system administrator of any verified target domain, and hereby grant SageRank an explicit, limited license to execute diagnostic security probes.
  • Reverse Indemnification: You agree to defend, indemnify, and hold harmless SageRank Software Solutions FZ-LLC against any third-party claims, ISP complaints, or regulatory fines resulting from target domains submitted under your account credentials.
  • Input Sanitization Whitelist: All target URLs are parsed using a strict character whitelist regex: /^[a-zA-Z0-9.-]+$/. Any query containing spaces, semi-colons, backticks, or execution symbols (such as &, ;, |, $) is blocked. You agree not to attempt to bypass or obfuscate inputs.
  • No Weaponization: You agree to use security diagnostic results purely for defensive hardening and remediation. You will not weaponize diagnostic reports, exploit discovered vulnerabilities, or execute attacks against any third party.

6. AI Search Engine Non-Affiliation & Zero Guarantee Disclaimer

SageRank provides independent, empirical analytics based on observed search patterns, web indexing signals, and AI engine outputs across third-party platforms (including Google AI Overviews, ChatGPT, Perplexity, Claude, Gemini, and Microsoft Copilot).

Non-Affiliation: SageRank Software Solutions FZ-LLC is an independent analytics provider and is not affiliated, endorsed, or partnered with OpenAI, Anthropic, Google, Perplexity, or Microsoft.

Zero Outcome Warranty: Generative AI models and search algorithms are non-deterministic, probabilistic, and subject to continuous third-party algorithmic changes beyond SageRank's control. SAGERANK MAKES ZERO REPRESENTATION, WARRANTY, OR GUARANTEE THAT PLATFORM RECOMMENDATIONS WILL RESULT IN SPECIFIC CITATION VOLUMES, SEARCH RANKINGS, TRAFFIC, OR REVENUE GAINS.

7. Intellectual Property Rights

All proprietary code, database designs, Nginx routing scripts, the S.A.G.E. Framework scoring algorithms, user interface layouts (including our signature dark glassmorphic design), trademarks, and generated optimization dossiers are the exclusive intellectual property of SageRank Software Solutions FZ-LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to access the Platform for your internal business operations in accordance with your subscription plan. You may not reverse-engineer, decompile, crawl, modify, distribute, copy, or create derivative works based on any portion of our codebase or visual style.

8. ShieldAI Domain Security & Fair Use Policy

SageRank deploys active security auditing (ShieldAI) to assess domain vulnerabilities and protect our assets, search analysis data, and user directories. Utilizing automated crawlers, scrapers, or headless scripts to extract data from SageRank's private dashboard views, pricing templates, or citation indices is strictly prohibited and constitutes a material breach under regional cybercrime laws.

9. Third-Party Services & Sub-Processors

SageRank integrates with third-party sub-processors, APIs, and infrastructure providers to deliver platform logic. These include Stripe (payment processing), Paddle (Merchant of Record billing), Google OAuth (identity management), Cloudflare (edge delivery and WAF), and AWS (cloud hosting). Your interactions with these services are subject to their respective terms.

10. Electronic Communications Consent

You consent to receive all communications, agreements, invoices, tax documents, and notices from SageRank electronically via your registered account email or platform dashboard in accordance with electronic transaction laws.

11. Subscription Management & Cancellation

You may cancel your subscription at any time directly through your Account Settings panel (app.sagerank.io/settings). Upon cancellation, your access to paid plan features continues until the end of your current paid billing period. We do not provide prorated refunds for mid-cycle cancellations. 12. Warranty Disclaimer

SAGERANK AND ITS ENTIRE PRODUCT SUITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SAGERANK SOFTWARE SOLUTIONS FZ-LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAGERANK SOFTWARE SOLUTIONS FZ-LLC OR ITS DIRECTORS, EMPLOYEES, OR SUB-PROCESSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, LOSS OF REVENUE, BRAND DE-INDEXATION, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING UNDER THESE TERMS OR FROM THE USE OF THE SERVICE SHALL BE CONFINED TO AND STRICTLY CAPPED AT THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO SAGERANK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless SageRank Software Solutions FZ-LLC and its respective directors, officers, employees, and sub-processors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of: (i) your violation of these Terms; (ii) your misuse of the platform; (iii) any unauthorized domain scans submitted under your credentials; or (iv) your violation of any third-party rights.

15. Export Controls & Sanctions Compliance

You warrant that you and your target scan domains are not subject to economic sanctions or export controls administered by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or the UAE. Accessing the platform from OFAC-sanctioned jurisdictions is strictly prohibited.

16. Termination by SageRank

We reserve the right, without liability and at our sole discretion, to suspend or terminate your account and platform access immediately and without prior notice in the event of: (i) a material breach of these Terms; (ii) fraudulent billing activities or chargebacks; (iii) executing unauthorized scans against third-party networks; or (iv) actions that threaten the security or stability of our infrastructure.

17. Dispute Resolution & Mandatory Individual Arbitration

All disputes, controversies, or claims arising out of or relating to these Terms or the Platform shall be resolved through final and binding arbitration:

  • Primary Jurisdiction (UAE & Global): Governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah. All disputes will be referred to and resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, UAE, in the English language before a single arbitrator.
  • United States Customers: Governed by the laws of the State of Delaware. Any dispute will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware, under its Commercial Arbitration Rules.
  • European Union & UK Customers: Governed by the laws of England and Wales, with arbitration administered under the London Court of International Arbitration (LCIA) rules in London, UK.

18. CLASS ACTION & JURY TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST SAGERANK SOFTWARE SOLUTIONS FZ-LLC, ITS DIRECTORS, OFFICERS, OR AFFILIATES. BOTH PARTIES EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL.

19. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. These Terms & Conditions, together with our Privacy Policy, User Agreement, and Refund Policy, constitute the complete and exclusive agreement between SageRank Software Solutions FZ-LLC and you.
